Cerevel announced today the pricing of a public underwritten offering of 7,250,000 shares of its common stock at a public offering price of $35.00 per share, or approximately $253.8 million of shares of its common stock. In connection with the common stock offering, Cerevel granted the underwriters of such offering a 30-day option to purchase up to an additional 1,087,500 shares of its common stock at the public offering price, less the underwriting discounts and commissions. The offering of the notes is not contingent upon the consummation of the concurrent offering of common stock, and the concurrent offering of common stock is not contingent upon the consummation of the offering of the notes. The concurrent offering of common stock is expected to close on August 16, 2022, subject to customary closing conditions.
