Appreciate Holdings Receives Notice From Nasdaq Regarding Delisting

Appreciate Holdings, Inc. (“Appreciate” or the “Company”) (NASDAQ:SFR), the parent holding company of Renters Warehouse (“Renters Warehouse”), a leading end-to-end Single-Family Rental (“SFR”) marketplace and management platform, today announced that it received a written notice (the “Notice”) on October 18, 2023, from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”), stating that, upon further review by Nasdaq’s staff the Company did not meet the terms of the exception granted to Appreciate to regain compliance with Nasdaq’s filing requirements set forth in Listing Rule 5250(c)(1) (the “Rule”). In that regard, the Company was not able to file the delinquent reports on Form 10-K for the year ended December 31, 2022, Form 10-Q for the quarter ended March 31, 2023 and Form 10-Q for the quarter ended June 30, 2023, respectively, by the exception due date of October 16, 2023.

 

Subsequently, Nasdaq has informed the Company that trading of the Company’s common stock will be suspended from The Nasdaq Global Market at the opening of business on October 27, 2023, and a Form 25-NSE will be filed with the Securities and Exchange Commission (the “SEC”), which will remove the Company’s securities from listing and registration on The Nasdaq Stock Market.
